Delaware Registered Agent Requirements: What C-Corps Need to Know

Every Delaware C-Corp must maintain a registered agent with a physical address in Delaware. Understanding the role, your SR number vs. file number, and how to choose the right agent prevents compliance issues.

Legal Requirement for a Delaware Registered Agent

Under Title 8, Section 131 of the Delaware General Corporation Law, every corporation incorporated in Delaware must continuously maintain a registered agent in the state. The registered agent must have a physical street address in Delaware (P.O. boxes are not accepted) and must be available during normal business hours to accept service of process, legal notices, and official correspondence from the Delaware Division of Corporations.

The registered agent serves as the legal point of contact between your corporation and the state of Delaware. If your company is sued, the complaint and summons are delivered to your registered agent, who then forwards them to you. If the Division of Corporations sends franchise tax notices, annual report reminders, or compliance warnings, these go to your registered agent's address. Failure to maintain a registered agent can result in the voiding of your certificate of incorporation under Section 136 of the DGCL.

Most out-of-state founders do not realize that the registered agent requirement is ongoing, not just at formation. If your agent resigns or goes out of business and you do not appoint a replacement within 30 days, the Division of Corporations may mark your entity as not in good standing. This affects your ability to conduct business, raise capital, and close transactions.

SR Number vs. File Number in Delaware

Delaware assigns two identification numbers to corporate entities, and confusing them is a common source of filing errors. The file number is assigned by the Division of Corporations when you first incorporate. It is a seven-digit number (e.g., 7654321) that uniquely identifies your entity in the state's records. You use the file number when filing your annual report, paying franchise tax, obtaining certificates of good standing, and making amendments to your certificate of incorporation.

The SR number (State Revenue number) is a separate identifier used by the Delaware Division of Revenue for tax purposes. It is typically a nine-digit number and is used for Delaware income tax filings, withholding tax registrations, and other revenue-related matters. Most early-stage startups that have no Delaware-sourced income and no employees in Delaware will not actively use their SR number, but it exists in the state's system.

When filing your annual report and franchise tax through the Delaware Division of Corporations website, you need your file number, not your SR number. The system will not recognize the SR number in the annual report lookup. Your certificate of incorporation, which your formation attorney or service provider should have given you at incorporation, lists both numbers. If you have lost track of either number, you can retrieve them by searching the Division of Corporations' Entity Search at icis.corp.delaware.gov or by contacting the Division directly.

Choosing a Registered Agent: Cost and Services

Registered agent services in Delaware range from $50 to $500 per year depending on the provider and the services included. At the low end, companies like Northwest Registered Agent, Incorp, and Registered Agents Inc. offer basic agent services (accepting and forwarding mail) for $50 to $125 per year. Mid-range providers like CSC Global and CT Corporation charge $200 to $400 and include additional services like annual report reminders, compliance calendar management, and document storage.

The registered agent fee is separate from your formation filing fee ($89 for a standard certificate of incorporation in Delaware, or $139 for same-day processing), your annual franchise tax ($400 to $2,000+ for most startups using the Assumed Par Value Capital Method), and the annual report filing fee ($50 per year).

When evaluating agents, consider reliability over price. A $50 agent that misses forwarding a lawsuit notice or fails to notify you of a franchise tax deadline can cost you thousands in penalties, default judgments, or loss of good standing. Changing Your Registered Agent

You can change your Delaware registered agent at any time by filing a Certificate of Amendment or a simple Change of Agent form with the Division of Corporations. The filing fee is $50 for a Change of Registered Agent form. The process is straightforward: the new agent must sign an acceptance of appointment, and the form is filed electronically or by mail.

Common reasons to change agents include moving to a provider with better service or lower fees, consolidating agents if you have multiple entities using different providers, your current agent going out of business or being acquired, and needing additional services like mail scanning, compliance monitoring, or expedited forwarding.

Timing matters. Make sure your new agent is in place before canceling the old one. There should be no gap in registered agent coverage. The effective date of the change is the date the Division of Corporations accepts the filing. We recommend confirming the change by searching your entity on the Division's website the following business day to verify the updated agent information is reflected in the public record.

Also note that your registered agent's address is public information, visible to anyone who searches the Division of Corporations database. This is one reason most companies use a professional agent service rather than listing a founder's personal address.
